1. Agreement to Terms

These Terms and Conditions ("Terms") govern your access to and use of StudiosTV OS, our website at studiostv.net, mobile applications, and all related services (collectively, the "Service") provided by Studios TV FZ LLE ("Studios TV", "we", "us", or "our").

By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

2. Description of the Service

StudiosTV OS is a white-label fitness platform that provides access to studio-quality workout content, live and on-demand classes, AI-powered coaching features, progress tracking, and related fitness tools. The Service may be offered directly by Studios TV or through partner gyms, studios, and organisations under their own branding.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

3. Eligibility and Accounts

You must be at least 16 years old to use the Service. By registering, you represent that you meet this requirement and that all information you provide is accurate and complete.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at hello@studiostv.com if you suspect unauthorised access.

Access through a voucher or invitation code may be subject to additional terms set by the organisation that provided the code. Where those terms conflict with these Terms, the organisation's terms may apply to the extent of the conflict.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable laws
• Share your account credentials or allow others to access the Service through your account
• Attempt to reverse engineer, decompile, or extract source code from the Service
• Scrape, copy, or redistribute content from the Service without authorisation
• Interfere with or disrupt the Service, servers, or networks connected to the Service
• Upload malicious code, spam, or harmful content
• Impersonate any person or entity, or misrepresent your affiliation
• Use the Service to harass, abuse, or harm others

We may suspend or terminate your account if you violate these Terms or engage in conduct that we determine, in our sole discretion, is harmful to the Service or other users.

5. Content and Intellectual Property

All workout videos, class content, software, branding, and other materials available through the Service are owned by Studios TV or its licensors and are protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service and its content for your personal, non-commercial fitness use only. You may not download, reproduce, distribute, publicly display, or create derivative works from any content except as expressly permitted by the Service.

If you submit feedback, ratings, or other content through the Service, you grant us a worldwide, royalty-free licence to use, reproduce, and display that content in connection with operating and improving the Service.

6. Health and Fitness Disclaimer

The Service provides fitness and wellness content for informational and entertainment purposes only. It is not a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of your physician or other qualified health provider before beginning any exercise programme.

You acknowledge that physical exercise involves inherent risks, including the risk of injury or death. You voluntarily assume all risks associated with your use of the Service and any workouts or classes you participate in. Stop exercising immediately and seek medical attention if you experience pain, dizziness, shortness of breath, or any other adverse symptoms.

To the fullest extent permitted by law, Studios TV is not responsible for any injury, loss, or damage arising from your use of the Service or reliance on any fitness content provided through it.

7. AI Features

The Service may include AI-powered features such as coaching assistants, personalised recommendations, or voice interactions. AI-generated responses are provided for general fitness guidance only and may not always be accurate or appropriate for your individual circumstances. Do not rely on AI features for medical advice. Use your own judgment and consult a qualified professional when needed.

8. Third-Party Services

The Service may integrate with or link to third-party services, including health platforms, payment providers, and streaming infrastructure. Your use of third-party services is governed by their respective terms and privacy policies. We are not responsible for the content, policies, or practices of any third party.

9. Subscriptions and Payments

Some features of the Service may require a paid subscription or be provided through a partner organisation. Where applicable, pricing, billing cycles, and cancellation terms will be presented at the point of purchase or by your providing organisation. All fees are non-refundable except where required by applicable law or expressly stated otherwise.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Studios TV and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the Service.

Our total liability to you for any claims arising from these Terms or the Service shall not exceed the greater of (a) the amount you paid us in the twelve months preceding the claim, or (b) one hundred US dollars (USD 100).

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

11. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

12. Indemnification

You agree to indemnify and hold harmless Studios TV and its affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Termination

You may delete your account at any time by contacting us or through in-app settings where available. We may suspend or terminate your access to the Service at any time, with or without cause or notice.

Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will continue to apply.

14. Governing Law and Disputes

These Terms are governed by the laws of the United Arab Emirates, without regard to conflict of law principles. Any dispute arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of the United Arab Emirates, unless mandatory consumer protection laws in your country require otherwise.

15. Changes to These Terms

We may update these Terms from time to time. We will post the revised Terms on this page and update the "Last updated" date. Material changes may also be communicated through the app or by email. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
